Preamble & Contracting Parties

Hereinafter referred to as “Provider” or “I”.
SECTION 1 – SCOPE AND GENERAL TERMS AND CONDITIONS
These General Terms and Conditions apply to all contracts concluded between me, Your Inner Shift LLC, and my clients (hereinafter “you” or “client”).
I reserve the right to refuse a service for objectively justified reasons. You acknowledge that information (with the exception of payment data) may be transmitted unencrypted and may involve technical adaptations to different networks or devices. Payment data is always transmitted in encrypted form.
Without my express written consent, it is not permitted to reproduce, distribute, or commercially use any content or services, in whole or in part.
SECTION 2 – APPLICABLE LAW AND JURISDICTION
Choice of Law
The law of the State of Florida, USA, shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Consumer Protection (EU)
If you are a consumer with habitual residence in the European Union, the mandatory consumer protection provisions of your country of residence remain unaffected.
Jurisdiction
The place of jurisdiction shall be Fort Lauderdale, Florida, USA, to the extent permitted by law. For consumers, the statutory places of jurisdiction shall apply.
SECTION 3 – CONTENT AND INFORMATION
The content provided as part of my services is intended for personal development, self-exploration, and reflection. I do not guarantee completeness, accuracy, or individual results. Use of the content is at your own responsibility.
SECTION 4 – DATA PROTECTION
I process personal data in compliance with the General Data Protection Regulation (GDPR) and applicable U.S. data protection standards. Further details can be found in my separate privacy policy.
SECTION 5 – THIRD-PARTY TOOLS
I may use tools from third-party providers (e.g., Zoom, Calendly, or payment providers). These are provided “as is.” I assume no liability for their content, availability, or functionality.
SECTION 6 – SERVICES AND PRICES
I reserve the right to adjust services and prices. Contracts already concluded shall remain unaffected unless expressly agreed otherwise.
SECTION 7 – PROHIBITED USE
It is prohibited to use my services or content for unlawful purposes, to infringe intellectual property rights, to distribute false or misleading information, or to circumvent technical security systems. In the event of violations, I reserve the right to terminate the collaboration without notice.
SECTION 8 – COPYRIGHT, PROTECTION OF KNOW-HOW AND CONFIDENTIALITY
All content, concepts, methods, and materials provided by me are subject to the copyright of Your Inner Shift LLC and must be treated as confidential. Any disclosure or commercial use without my prior written consent is not permitted.
SECTION 9 – CONFIDENTIALITY
I undertake to treat all personal information that becomes known to me in the course of our collaboration as confidential.
In group formats, participants are also obliged to maintain confidentiality regarding the personal information of others.
SECTION 10 – DISCLAIMER OF LIABILITY
No Promise of Cure
My services are intended for personal development, self-exploration, and consciousness work. They do not constitute medical, psychotherapeutic, or psychiatric treatment. I do not provide any guarantees of healing.
Personal Responsibility
Participation is at your own responsibility. Success depends largely on your personal commitment and cooperation.
Limitation of Liability
To the extent permitted by law, I shall only be liable for intent and gross negligence. For consumers from Germany, Austria, and Switzerland, the mandatory statutory liability provisions shall apply.
SECTION 11 – SEVERABILITY CLAUSE
Should any provision of these Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
SECTION 12 – TERMINATION BY THE PROVIDER
I am entitled to terminate the collaboration without notice if these Terms and Conditions are violated. Any payment claims that have already become due shall remain unaffected.
SECTION 13 – PAYMENT TERMS
Payments are due in advance. In the case of agreed installment payments, the entire remaining amount shall become immediately due if an installment is not paid on time.
SECTION 14 – RIGHT OF WITHDRAWAL FOR CONSUMERS (EU)
Consumers have the right to withdraw from this contract within fourteen days without giving any reason.
The right of withdrawal expires prematurely if I have begun providing the service after you have expressly agreed and confirmed that you lose your right of withdrawal upon full performance of the contract.
SECTION 15 – DEFAULT IN PAYMENT
In the event of default in payment, I reserve the right to charge default interest and processing fees within the legal framework.
SECTION 16 – CANCELLATIONS BY ME
If an appointment is canceled for important reasons on my part (e.g., illness), a replacement appointment will be offered or payments already made will be refunded on a pro rata basis. No further claims shall exist.
SECTION 17 – CANCELLATION BY CLIENTS
Cancellations must be made in text form (e-mail).
Cancellation more than 24 hours before the appointment is free of charge.
Cancellation less than 24 hours before the appointment results in a cancellation fee of 50%.
In case of no-show, the full fee shall be due.
Programs must be completed within the agreed duration.
SECTION 18 – ENTIRE AGREEMENT
These Terms and Conditions constitute the entire agreement between you and me and replace all prior agreements.
